These Terms & Conditions (“Terms”) govern your use of precise-ledger.org and any related pages (the “Website”) operated by Precise Ledger Solutions, LLC (“Precise Ledger,” “we,” “us,” or “our”). By using the Website, you agree to these Terms. If you do not agree, please do not use it.

At a glance

  • Using this website does not make you a client. A signed engagement letter does.
  • Website content is general information, not tax, legal or investment advice.
  • You are responsible for the accuracy of the records you give us and for your business decisions.
  • Fees, refunds and privacy are covered in your engagement letter and our linked policies.
  • These Terms are governed by the laws of the State of Nevada.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Website or buy our services. If you use the Website on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

Our services

Precise Ledger provides bookkeeping, transaction management, financial reporting and month-end close, accounting systems support, project-based accounting, tax and compliance support, and business advisory support.

The Website describes these services in general terms. The scope, deliverables, schedule and fees for your work are set out in a separate engagement letter or service agreement.

Engagement letters

No client relationship is formed by browsing the Website, sending us an email, booking a consultation, or submitting a form. A client relationship begins only when both parties sign an engagement letter.

If an engagement letter conflicts with these Terms, the engagement letter controls for the services it covers.

Not professional advice

Articles, guides, checklists, FAQs and other Website content are provided for general information only. They are not tax, legal, investment or accounting advice for your specific situation, and you should not act on them without advice tailored to your circumstances.

Your responsibilities as a client

Accurate books depend on accurate information. When you engage us, you agree to:

  • Provide complete, accurate and timely records, statements and explanations.
  • Tell us promptly about changes in your business that affect your books.
  • Review the reports we deliver and raise any questions or errors you notice.
  • Keep responsibility for your financial statements, internal controls, tax filings and business decisions.

Unless your engagement letter says otherwise, we rely on the information you give us and do not audit or independently verify it.

No guaranteed outcomes

We work carefully to keep your books accurate, but we cannot guarantee any particular result, including tax outcomes, loan or financing approval, investor decisions, or business performance. Examples and figures on the Website describe past work and are not a promise of future results.

Fees and payment

  • Fees are set out in your engagement letter or on your invoice.
  • Invoices are due on the date shown on the invoice.
  • Payments are processed by secure third-party payment providers. We do not store full card numbers.
  • We may pause work on accounts with overdue balances after giving you written notice.
  • Unless stated otherwise, prices exclude any applicable taxes, which are your responsibility.
  • We may change our published prices at any time. Changes do not affect fees already agreed in a signed engagement letter.

Refunds and cancellations

Refunds, cancellations and the return of your records are covered by our Refund & Return Policy and by your engagement letter.

Confidentiality and privacy

We treat client financial information as confidential. How we collect, use, protect and share personal information is explained in our Privacy Policy.

Client portals and accounting software

We may give you access to a secure client portal or work with you inside third-party software. You are responsible for keeping your login credentials confidential and for activity under your account. Tell us immediately if you suspect unauthorized access.

Third-party software is provided under that provider’s own terms. We are not responsible for outages, data loss or changes caused by a third-party provider.

Intellectual property

The Website and its content, including text, graphics, logos, icons, images, guides and page design, belong to Precise Ledger or its licensors and are protected by intellectual property laws. You may view and print pages for your own non-commercial use. You may not copy, republish, modify or distribute Website content without our written permission.

Your business records remain yours. Nothing in these Terms transfers ownership of your data to us.

Acceptable use

When using the Website, you agree not to:

  • Break any law or regulation.
  • Try to gain unauthorized access to the Website, our systems or another person’s account.
  • Upload viruses, malware or other harmful code.
  • Interfere with the Website’s operation or security.
  • Submit false information or impersonate another person or business.
  • Scrape or harvest content or contact details by automated means.

Third-party links

The Website may link to websites we do not control, including software partners. We provide these links for convenience and are not responsible for the content, products or privacy practices of those sites.

Disclaimer of warranties

The Website is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties about the Website, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted availability. Warranties that apply to our paid services, if any, are set out in your engagement letter.

Limitation of liability

To the fullest extent the law allows, Precise Ledger and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Website.

Our total liability for any claim relating to the Website is limited to one hundred US dollars (US$100). Liability relating to paid services is governed by your engagement letter. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless Precise Ledger and its owners, employees and contractors from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the Website, your breach of these Terms, or your violation of any law or third-party right.

Changes to the Website

We may update, suspend or remove any part of the Website, or restrict access to it, at any time and without notice, including for maintenance.

Governing law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Any dispute relating to these Terms will be brought in the state or federal courts located in Washoe County, Nevada, and you consent to their jurisdiction.

General terms

  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • Entire agreement. These Terms, together with our linked policies, are the entire agreement about your use of the Website. Paid services are also governed by your engagement letter.
  • No waiver. Not enforcing a provision does not waive our right to enforce it later.
  • Assignment. You may not transfer your rights under these Terms without our consent.

Changes to these Terms

We may revise these Terms from time to time. The “Last updated” date shows the latest version. Continuing to use the Website after changes are posted means you accept the revised Terms.
